This privacy policy (“Policy”), maintained by KMS Technologies, Inc., a Delaware corporation (“we” or “us”), applies to the Service described below. The “Service” described in this Policy is the Renovation Exchange website together with the Renovation Exchange application.
This Policy describes the ways that the Service collects, receives, uses and discloses personal information that identifies, relates to, or describes, directly or indirectly, you as an individual (“PI”) when you use the Service. In this Policy,

“Terms of Use” or “TOU” means the Renovation Exchange Terms of Use between us and certain individual users of the Service.

“Commercial Agreement” means a written business-to-business agreement (for example, an Order Form with incorporated Terms and Conditions, a product evaluation agreement or a similar agreement regarding a customer’s access to the Service) into which we enter with some users of the Service or organizations of which some users are employees or agents.

“You” or “you” means any and all Participants (as defined herein), organizations, businesses, banks, or firms with which we have entered into a Commercial Agreement directly (each a “Primary User”) or which has been granted access to the Service by a Primary User and all individual end users of the Service, regardless of how or if they were granted access.
What This Policy Covers and Does Not Cover
This Policy applies to PI that we receive through the Service. This Policy does not apply to PI that we collect in ways other than through the Service, including through external communications, and does not apply to PI that any third party may collect, including through any application or content that may link to or be accessible via the Service.
By visiting, accessing, using or downloading the Service, you agree to our collection and use of PI as this Policy describes. This Policy may change from time to time. The date the privacy policy was last updated is identified at the top of the page. Your continued use of the Service after any modification means that you acknowledge the change and agree to the practices that we disclose in the Policy.
Children’s and Minors’ Data
Our Service is not intended for, and we do not knowingly collect any PI from or about, children under the age of 18. If we learn that we have collected or received personal data from a child under 18 years old without verification of parental consent, we will delete that information.
PI That You Manually Provide Us
The PI that you manually provide us through or in connection with the Service may include:

Information that you enter into forms on the Service, including information provided when you register to use the Service or at any later time.

Your responses to surveys that we might ask you to complete for research purposes.

Details of transactions that you carry out through the Service and other actions that you take through the Service.

Search queries that you type into the Service’s search interface.
In these ways, you may provide us with your name, email address, phone number, home or work address, and password credentials for using the Service. Depending on how you choose to use the Service, you may also provide us with information about how you have used the Service. All of the information described in this sub-section is PI covered by this Policy.
PI That We Receive about You from Other Participants
The Service helps multiple organizations and individuals work together with respect to loan transactions and related services and projects (such transactions, services and projects referred to collectively in this Policy as “Transactions”). The users of the Service can include Borrowers, Consultants, Contractors, Lenders and Brokers (as the TOU defines those terms), appraisers, real estate agents, and employees and agents of all of the above (this Policy refers to all of the above collectively as “Participants”).
With any particular Transaction, the number and identity of Participants using the Service and the amount and types of PI that the Service receives about you can vary depending on how the Participants choose to use the Service. For example, in some loan transactions, only the Lender and Borrower will use the Service. In others, the Lender and Borrower may also use the Service together with a Broker, a Consultant and one or more Contractors.
The types of PI relating to you that other Participants may provide to us through the Service include your name, email address, phone number, home or work address, your employer’s name, and, if you are a Borrower, the FHA (Federal Housing Administration) case number and loan number that your Lender provides.
PI That We Receive about You from Third Parties
We may receive personal data about you from other sources and combine that with information we collect directly from you. For example, we may obtain information about you from service providers that we engage to perform services on our behalf. This information is also PI under this Policy.
PI That We Collect Automatically Through Data Collection Technologies
As you use the Service, we may use automatic data collection technologies to collect information about your equipment and browsing actions. These may include:

Details of your usage of the Service, including traffic data, location data, logs, and the parts of the Service that you use.

Information about your computer or device and Internet connection, including your IP address, operating system, and browser type.
We collect this information to help us understand how people use the Service and how we can make ongoing improvements to it.
The technologies we use for automatic data collection may include cookies. A cookie is a small file placed on the hard drive of your computer or mobile device when you interact with the Service. You may refuse to accept cookies by activating the appropriate setting on your browser, but doing so may make you unable to access certain parts of the Service. Unless you have adjusted your browser setting to refuse cookies, our system will issue cookies when you visit the Service. Third-Party Services, as defined herein, may use cookies in connection with your use of the Service as well.
You may opt out of our use of these tools with you, but doing so may impact your ability to access the Service. How We Use Your PI
We use your PI to:

Provide the Service to you.

In some cases, enable other Participants to access and use PI about you in order to allow the Service to function in the ways described in the TOU and in applicable Commercial Agreements.

Provide you with information, products, or services that you request from us.

Improve our Service, including by analyzing your information and creating aggregated data from your information.

Let you know about changes to the Service or any products or services we offer or provide though it.

Fulfill any other purpose for which you provide it.

Carry out our obligations and enforce our rights arising from any contracts that you enter into with us.

In any other way we may describe when you provide the information.

For any other purpose with your consent.
To Whom We Disclose PI
We may disclose aggregated information about our users and information that does not identify any individual or device without restriction or notification. We may also disclose PI that we collect or you provide as described in this Policy.
We will not sell, rent, license or disclose PI to third parties except:

To Borrowers, Brokers, Contractors, Consultants, Customers and Lenders and as employees or other representatives of the above, in the ways described in the TOU, any applicable Commercial Agreement, or in other product documentation that appears within the Service.

To other third-party companies that we use to provide or market the Service or other products that we offer (“Third-Party Services,” below);

Where we believe it is necessary or appropriate to protect the rights, property or safety of our organization, customers, or others, to respond to legal claims asserted against us, to comply with any court order, law, or legal process (e.g. warrants and subpoenas), to enforce or administer our agreements, to prevent fraud, for risk assessment, for investigation, and to protect the rights, property or safety of us, our users or others. This may include exchanging information with other organizations for fraud protection and credit risk reduction purposes.

To investigate suspected fraud, harassment, illegal conduct, or violations of the TOU, applicable Commercial Agreements or other agreements;

To subsidiaries or affiliates that we may have today or in the future;

To a buyer or other successor in the case of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which the transferred assets include PI that we maintain about individuals;

To enforce or apply our TOU, applicable Commercial Agreements, or other agreements that we may have with you, including for billing and collection purposes;

With your consent; and

To fulfill the purpose for which you provide it. For example, if you provide us an email address to use to invite another person to use the Service, we may identify you to that other person as the person who has provided us their email address.
Third-Party Services
We use various Third-Party Services to operate the Service. These include Google Analytics and Stripe and may include others in the future. Third-Party Services also include the other Participants with whom you or your affiliated organization collaborate through the Service.
Third-Party Services collect, use and share PI pursuant to their own privacy and security policies. Some of them, including Google, may use location information and other PI to serve advertisements to consumers on other websites. By using our Service, you consent to our providing PI with Third-Party Services to be used in accordance with their own privacy and security policies as they exist today and as they may change in the future.

Your Rights With Respect to PI
The Service offers some types of Participants the option to edit PI that we maintain about them (for example, email addresses, phone numbers, names and passwords) by simply updating their PI directly through features in the Service’s interface. The Service does not notify other Participants of updates to a particular user’s PI, so if you use the Service to update PI about yourself, please notify any other Participants who are using the Service in connection with you of the update.
Location Data
You can choose whether or not to allow the Service to collect and use real-time information about your device's location through the device's privacy settings. If you block the use of location information, some Service features may become inaccessible or not function properly.
How We Protect Your PI
We use commercially reasonable administrative, physical, and technical measures designed to protect your PI from accidental loss or destruction and from unauthorized access, use, alteration, and disclosure. However, no website, mobile application, system, electronic storage, or online service is completely secure, and we cannot guarantee the security of any data transmitted to, through, using, or in connection with the Service. In particular, email, texts, and chats sent to or from the Service may not be secure, and you should carefully decide what information you send to us via such communications channels. Any transmission of data is at your own risk.
The safety and security of your information also depends on you. You are responsible for taking steps to protect your PI against unauthorized use, disclosure, and access.
How We Retain Your PI
We keep the categories of PI described in this policy for as long as reasonably necessary to fulfill the purposes described or for as otherwise legally permitted or required, such as maintaining the Service, operating our organization, complying with our legal obligations, resolving disputes, and for safety, security, and fraud prevention. This means that we consider our legal and business obligations, potential risks of harm, and nature of the information when deciding how long to retain PI. At the end of the retention period, PI will be deleted, destroyed, or deidentified.
No Rights of Third Parties
This Policy does not create rights enforceable by third parties.
Limitation of Warranties
We make no representations, warranties or promises about the security of PI or about any other matter except as stated expressly in this Policy, as agreed in the TOU or in an applicable Commercial Agreement or where required by law.
